Please read these Terms of Service ("Terms") carefully before using the MyQualityManager.comwebsite ("the Site"). By accessing or using the Site, you agree to be bound by these Terms andall policies and guidelines incorporated by reference. If you do not agree to these Terms, youmay not use the Site.
1. Description of Service
MyQualityManager.com provides access to a "Kit Generator" tool and variousdirect-to-consumer documents and standard operating procedures ("Kits"). You acknowledgethat these Kits are provided for informational and evaluation purposes only and are not intendedfor general commercial use or to process live or production data.
2. Limited License
Subject to your compliance with these Terms, Qualitas Executive Group, LLC ("Qualitas") grantsyou a limited, non-exclusive, non-transferable, revocable license to access and use the Kitssolely for your internal evaluation. This license does not grant you the right to distribute, sell,sublicense, or otherwise transfer or make available the Kits or any portion thereof to any thirdparty.
3. Proprietary Rights and Confidentiality
You acknowledge that the Kits and all content on the Site, including the Kit Generator, containconfidential information and trade secrets of Qualitas. You agree not to remove any copyrightlegend, trademark, or confidentiality badge that appears on the Kits. You will not disclose theKits, their features, or any related technical information to any third party without Qualitas's priorwritten approval. All rights and licenses not expressly granted to you are reserved by Qualitas.
4. Feedback
You may choose to provide feedback, suggestions, or ideas regarding the Kits or the Site("Feedback"). By submitting any Feedback, you agree that it is the sole and exclusive propertyof Qualitas. You hereby irrevocably assign and transfer to Qualitas all right, title, and interest inand to all Feedback, including all intellectual property rights. You will not acquire any rights orCopyright © 2025 Qualitas Executive Group, LLClicenses in the Kits, the Kit Generator, or any other Qualitas intellectual property on account ofyour Feedback.
5. Disclaimers
THE KITS AND THE SITE ARE PROVIDED "AS-IS." QUALITAS DISCLAIMS ALLWARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OFMERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
You acknowledge and agree that: (a) The Kits and the Kit Generator are a beta product andhave not been commercially released; they may not operate properly or be fully functional. (b)The Kits and the Kit Generator may contain errors, design flaws, or other problems. (c) It maynot be possible to make the Kits or Kit Generator fully functional. (d) Information obtained usingthe Kits and/or Kit Generator may not be accurate.
6. Limitation of Liability
EXCEPT AS OTHERWISE REQUIRED BY LAW, QUALITAS’S LIABILITY TO YOU OR ANYTHIRD PARTY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESETERMS OR THE USE OF THE KITS OR SITE SHALL BE LIMITED TO DIRECT DAMAGESNOT TO EXCEED ANY FEES PAID BY YOU TO QUALITAS, IF ANY. IN NO EVENT WILLQUALITAS BE LIABLE FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIALDAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, BUSINESS REVENUE, DATA,OR DATA USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Governing Law
These Terms are governed by and construed in accordance with the internal laws of the State ofUtah, without regard to its choice of law provisions. Any legal action or proceeding arising underthese Terms will be brought exclusively in the federal or state courts located in Salt LakeCounty, Utah.
8. General Provisions
These Terms constitute the entire agreement between you and Qualitas regarding your use ofthe Site and supersede all prior agreements and understandings. If any provision of theseTerms is found to be invalid or unenforceable, the remaining provisions will remain in full forceand effect. No waiver of any breach of these Terms will be a waiver of any other breach.
